These Terms of Service (“Terms”) govern your access to and use of ProposalGen AI. By creating an account or using the service, you agree to these Terms. If you don't agree, please don't use the service.
1. Plain-English summary
- You own the proposals you create. We don't claim any rights to your content.
- Don't use the service to generate illegal, harmful, or fraudulent documents.
- Pay your bill on time and we'll keep the service running for you.
- Either of us can terminate the agreement; we'll give notice and let you export your data.
- The service is provided “as is” — we don't guarantee it's perfect.
2. Eligibility
You must be at least 16 years old and capable of entering into a binding agreement under the laws of your jurisdiction. If you're using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your account
You're responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately if you suspect unauthorized access at support@proposalsgen.com.
4. Acceptable use
You agree not to use ProposalGen AI to:
- Generate documents that are fraudulent, defamatory, or designed to deceive;
- Violate any applicable law or third-party rights;
- Impersonate another person or entity;
- Reverse-engineer, scrape, or attempt to extract source code or training data;
- Send unsolicited bulk communications (spam) using share links;
- Interfere with the integrity or performance of the service.
We may suspend or terminate accounts that violate these rules.
5. Subscriptions and billing
Paid plans renew automatically at the end of each billing period (monthly or annually) until canceled. You can cancel any time from your dashboard; you'll keep paid features until the end of the current period.
Prices are listed on our pricing page. We may change prices with at least 30 days' notice; price changes only affect renewals after the notice period.
We offer a 30-day money-back guarantee on your first paid month. After that, payments are non-refundable except where required by law.
6. Free tier limits
The free tier allows up to 3 proposals per calendar month. Quota resets on the 1st of each month. We may adjust free-tier limits with notice.
7. Your content
You retain all rights to the proposals, inputs, and other content you create or upload (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide the service.
We do not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.
8. AI-generated output
AI-generated proposal text is provided for your use, but you are responsible for reviewing and verifying it before sending. We make no warranty that AI output is factually accurate, complete, or fit for a specific purpose. Always review pricing, scope, and legal terms with appropriate professionals.
9. Electronic signatures
Signatures collected through ProposalGen AI are intended to comply with the U.S. ESIGN Act (15 U.S.C. § 7001) and the EU eIDAS Regulation. We maintain audit logs for 7 years. You are responsible for ensuring that signatures are appropriate for your specific legal context (e.g., real estate or wills typically require additional formalities).
10. Termination
You may terminate your account at any time from your dashboard. We may suspend or terminate your account if you materially breach these Terms or if we reasonably believe continued use poses a security risk. We will provide reasonable notice and an opportunity to cure where appropriate.
Upon termination, your right to use the service ends. We will provide a 30-day window to export Your Content before deletion.
11. Disclaimer of warranties
The service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation.
12. Limitation of liability
To the fullest extent permitted by law, ProposalGen AI's total liability for any claim arising out of these Terms or the service will not exceed the greater of (a) the fees you paid in the 12 months preceding the claim or (b) USD $100. We are not liable for indirect, incidental, special, or consequential damages.
13. Indemnification
You agree to indemnify and hold ProposalGen AI harmless from any claims arising out of Your Content or your violation of these Terms.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, except where prohibited by your local consumer-protection laws.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email at least 30 days in advance. Continued use of the service after changes take effect constitutes acceptance.
